These Terms explain the rules for using the ZumaFlix marketplace, buying from participating Vendors, and offering Products through the Platform.

1. About these Terms

These Terms & Conditions (“Terms”) govern your access to and use of the ZumaFlix website, applications, marketplace, and related services (“Platform”). They apply when you browse, create an account, submit an order, sell through the Platform, or otherwise use a Platform feature. If you do not agree, do not use the Platform. Where required by law, these Terms apply only to the extent you have had a reasonable opportunity to review and agree to them.

2. Definitions and ZumaFlix’s role

In these Terms:

  • “ZumaFlix”, “we”, and “us” refer to the operator of the ZumaFlix Platform; these Terms do not identify or imply a particular incorporated legal entity.
  • “User” means a person using the Platform; “Customer” means a User buying or seeking to buy a Product; “Vendor” or “Seller” means a business or seller listing Products through the Platform.
  • “Product” means a physical or digital item offered on the Platform. “Order” means a purchase request and its related order record. “Content” means material submitted to or displayed through the Platform, including listing text, images, reviews, and messages.

ZumaFlix operates a marketplace that connects Customers with participating Vendors and provides Platform features for listings, checkout, order records, payment status, support, and delivery coordination or tracking where available. The Vendor is generally the seller of its listed Products and is responsible for its offers and fulfilment obligations. ZumaFlix also performs operational functions within the Platform; it is not merely a passive directory. No particular direct-sale role is represented by these Terms unless an offer expressly identifies ZumaFlix as the seller.

3. Eligibility and accounts

You must have legal capacity to use the Platform and enter into the transactions you make. If you act for a business or other organisation, you confirm that you are authorised to bind it. The Platform is not intended for a person who cannot lawfully enter into the relevant transaction. Information you provide must be accurate, complete, and kept reasonably current. You are responsible for safeguarding your sign-in credentials, activity through your account, and promptly notifying us if you suspect unauthorised access. Do not share your credentials or use another person’s account without permission.

4. Customer responsibilities

  • Provide accurate contact, recipient, billing, and delivery information requested for your order, and update us promptly if it changes.
  • Submit genuine orders, pay the amount shown at checkout using the selected method, and cooperate with reasonable order verification or delivery steps.
  • Be reasonably available to receive a delivery where delivery is required, and review the Product after receipt. Report an issue through the available support or return workflow.
  • Use the Platform lawfully and do not use payment, cancellation, return, review, or support processes deceptively or abusively.

5. Vendor responsibilities

Vendors must provide accurate business and contact details and any information or verification material requested for their application or ongoing verification. Approval or verification may be required before particular seller features are available; an application alone does not guarantee approval.

Vendors are responsible for:

  • Accurate, current Product descriptions, images, variants, prices, stock, shipping details, and other listing information.
  • Offering only Products they are legally entitled to sell, meeting applicable safety, labelling, regulatory, and consumer obligations, and fulfilling accepted orders in accordance with the listing and Platform workflow.
  • Maintaining accurate inventory and promptly addressing unavailability, order questions, delivery problems, complaints, and return or refund requests through the Platform.
  • Ensuring they own or have permission to use submitted listing content, product images, trademarks, and other materials.

Vendor plans, commissions, settlement arrangements, and any applicable fees may be described in the relevant Platform settings, plan information, or separate vendor terms. These Terms do not establish a commission rate or payout timetable.

6. Listings, availability, and moderation

Vendors are responsible for their listings. Product images and descriptions are illustrative only to the extent they fairly represent the offer; material characteristics and terms should be stated accurately. Product availability, variants, stock, and prices may change. The Platform may validate, review, moderate, restrict, correct, or remove a listing where reasonably needed for accuracy, safety, legal compliance, Platform rules, or user protection. A listing or displayed price error may be corrected; if an order cannot be fulfilled or a material error affects it, we or the Vendor may contact you and take an appropriate step, including cancellation and any applicable payment reversal, subject to law and the relevant payment/return process.

7. Prices, taxes, and checkout

The Vendor is responsible for setting and maintaining its Product prices. The Platform may calculate a checkout total that includes the Product price, applicable delivery charges, and any tax amount shown for the order. Review the final total and order details before completing checkout. The amount payable is the amount shown for that order, subject to a clear error or a permitted adjustment disclosed to you. We do not state a universal delivery charge, tax rate, or Vendor fee in these Terms.

8. Orders and order status

An Order record is created when checkout is completed. In the standard checkout flow, the order begins in a pending state; creation of that record is not by itself proof that an external payment has succeeded or that fulfilment has begun. For Stripe, Paystack, or Flutterwave payments, the Platform relies on provider verification before recording a captured payment and moving the order into processing. A failed, pending, or unverified payment may prevent processing.

Cash on delivery is available only where offered and eligible for the order. Such an order may remain pending while payment is due at delivery. The Platform does not impose a separate general Vendor-acceptance step before creating the order record; Vendor processing and subsequent order status are handled through the applicable Platform workflow. We may decline, cancel, or stop an order where it is invalid, cannot be fulfilled, has a material listing or pricing error, payment cannot be verified, or action is reasonably needed for safety, fraud prevention, or legal compliance. We will provide an appropriate order or account notice where reasonably practicable.

9. Payments

Available payment methods are those displayed in checkout and may include payment processed through Stripe, Paystack, or Flutterwave, and cash on delivery where eligible. A payment provider processes transactions under its own terms and privacy practices. ZumaFlix order records may contain payment status, amount, currency, provider references, and related transaction information; these Terms do not claim that ZumaFlix stores full payment-card credentials. A payment may remain pending until verified. Contact support promptly if you believe a payment was duplicated or incorrectly recorded; do not send full card details or payment credentials.

10. Cancellations, returns, and refunds

Cancellation availability depends on the Order’s status and fulfilment stage. For example, the current customer order flow does not permit cancellation after an order has entered certain fulfilment stages. Return and refund requests are handled according to the applicable order circumstances, Platform workflow, the Refund, Return & Cancellation Policy, and applicable law. Nothing in these Terms excludes or limits a right or remedy available to you under applicable consumer law.

11. Delivery, fulfilment, and inspection

Delivery options depend on the Products, destination, Vendor, and methods shown at checkout. Provide a complete and accurate address and delivery contact details. Vendors and delivery participants may perform fulfilment steps, and ZumaFlix may coordinate order or shipment information through its Platform. Delivery dates or estimates are not guarantees unless expressly stated as such. Tracking shows information recorded or made available through the Platform and may not be a live carrier feed. Delays, failed delivery attempts, or events outside a party’s reasonable control can affect fulfilment. Inspect the Product after delivery and report damage, defects, missing items, or other concerns promptly through available support or return channels.

12. Reviews and other User Content

You remain responsible for Content you submit and must have the rights and permissions needed to provide it. You grant ZumaFlix a non-exclusive, worldwide, royalty-free permission to host, display, reproduce, and use that Content as reasonably necessary to operate, promote, secure, and improve the Platform and the relevant marketplace feature. This permission does not transfer ownership to ZumaFlix and ends when the Content is removed, except for copies retained for legal, security, backup, or transaction-record purposes. Reviews should reflect genuine experience. Fake or manipulated reviews, unlawful or infringing material, misleading listings, harassment, and content that compromises safety or privacy are not permitted. We may moderate or remove Content when reasonably necessary to enforce these Terms, protect users, or meet legal obligations.

13. Prohibited Products and conduct

You must not list, offer, or transact in unlawful, counterfeit, stolen, unsafe, restricted, or infringing Products, or any Product prohibited by applicable law or Platform rules. You must not submit false or misleading listings or business information.

You must not:

  • Commit fraud, impersonate another person, manipulate reviews, abuse payments or returns, or interfere with another user’s account.
  • Attempt unauthorised access, bypass security or access controls, introduce malware, disrupt the Platform, or use scraping or automated tools in a way that overloads or misuses the service.
  • Harass, threaten, unlawfully discriminate against, or misuse the personal information of another person.
  • Use the Platform in violation of law, these Terms, or rights of another person.

14. Intellectual property

ZumaFlix and its licensors retain rights in the Platform, software, branding, and materials we provide. You may use the Platform only for its intended lawful purposes. Except where permitted by law or with our written permission, you must not copy, distribute, modify, reverse engineer, or commercially exploit Platform materials. Vendors and other Users retain their rights in their own Content, subject to the limited permission above and any rights needed to complete an order or operate a feature. Contact support@zumaflix.com to report suspected infringement.

15. Third-party services and links

The Platform may connect with payment processors, delivery or logistics participants, communication services, and external websites. Their services may have separate terms, privacy notices, or operational limitations. ZumaFlix does not control third-party services, but this does not remove any responsibility ZumaFlix has for its own Platform functions or conduct.

16. Security and fraud prevention

We use measures intended to protect accounts, transactions, and the Platform. You must keep credentials confidential, use the service responsibly, and notify us if you suspect compromise. To protect Users and the Platform, we may investigate suspicious activity, request reasonable verification, review or delay a transaction, limit access to a feature, or refer suspected unlawful conduct to the relevant authority. Any restriction will be handled in a manner consistent with applicable law and the circumstances.

17. Suspension, restrictions, and account closure

We may restrict or suspend an account, Vendor activity, listing, or transaction where reasonably necessary to address suspected fraud, security risk, unlawful conduct, material inaccuracy, safety concerns, failure to meet verification requirements, or a serious or repeated breach of these Terms. We may request corrective action or remove a listing. Where reasonably practicable, we will explain the action and any available review or support route. Account closure does not cancel obligations or transaction records that must continue to be handled, and it does not remove rights or remedies available under law.

18. Platform availability and changes

We may maintain, update, change, or discontinue Platform features. Access may be interrupted by maintenance, connectivity or infrastructure problems, security events, or other circumstances. We do not guarantee uninterrupted availability, but nothing in this section excludes responsibility that cannot lawfully be excluded.

19. Consumer rights and fair treatment

These Terms are intended to operate consistently with applicable Nigerian law, including consumer-protection principles under the Federal Competition and Consumer Protection Act 2018. No provision excludes, restricts, or waives a consumer right, guarantee, remedy, or liability that cannot lawfully be excluded, restricted, or waived. Where a provision conflicts with a mandatory legal protection, that protection applies.

20. Disclaimers and responsibility

Vendor-provided listing information, third-party services, external links, and delivery estimates may change or contain errors; the responsible party should address issues in its area of control. The Platform and internet services may also experience interruptions. These practical limitations do not release a Vendor from obligations applicable to its offer or a party from responsibility for its own acts or omissions. No disclaimer in these Terms removes statutory consumer protections or liability that cannot lawfully be excluded.

21. Liability

Each party remains responsible for loss or damage to the extent caused by its breach of these Terms, negligence, unlawful conduct, or other liability imposed by law. To the extent permitted by law, neither party is responsible for indirect or consequential loss that was not reasonably foreseeable, except where that exclusion would be unlawful or would limit a protected consumer remedy. Nothing in these Terms caps liability or excludes liability that applicable law does not permit to be capped or excluded.

22. Indemnity

A Vendor or User may be responsible for reasonable third-party claims and direct costs to the extent caused by that person’s unlawful conduct, fraud, infringement of another person’s rights, or serious breach of these Terms. This does not require a consumer to indemnify ZumaFlix for our own breach, negligence, unlawful conduct, or obligations that cannot lawfully be transferred.

23. Events beyond reasonable control

A party is not responsible for a delay caused by an event beyond its reasonable control, such as a major network or infrastructure outage, government restriction, natural event, or significant logistics disruption, for as long as the event prevents performance. The affected party should take reasonable steps to reduce its effects. This provision does not excuse payment obligations for amounts already due or remove rights and remedies that remain available under law.

25. Notices and communications

We may communicate with you through Platform notifications, account or order messages, or the contact details you provide, including email where available. Keep those details current and check order and account communications. To contact support, email support@zumaflix.com. Do not send passwords or full payment credentials.

26. Changes to these Terms

We may revise these Terms when the Platform, its services, or applicable requirements change. The current version and its updated date will be posted here. For a material change, we will provide additional notice where appropriate or required by law. A change will not retrospectively remove a right or remedy that has already accrued. Where law requires fresh agreement to a change, we will seek it in the required manner.

27. Governing law and disputes

These Terms and disputes concerning use of the Platform are governed by the laws of Nigeria, subject to any mandatory consumer protections or jurisdictional rights that apply. If you have a concern, please first contact support@zumaflix.com so we can try to address it in good faith. This does not prevent you from contacting a regulator or pursuing a remedy before a competent Nigerian court or authority.

28. General

If a provision is found unenforceable, it will be limited only as much as necessary and the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver of the right to enforce it later. These Terms, together with the policies linked above and any specific terms presented for a feature or Vendor plan, form the terms applicable to your use of the Platform. If documents conflict, a specific feature term governs that feature only, and mandatory legal rights prevail. No linked policy or separate term overrides a right that cannot lawfully be excluded.
